Seller Terms

1. Who these terms are between

These Seller Terms are an agreement between you (the “Seller”) and Weffex Solutions Private Limited, which operates Smart Studios and the marketplace at portal.mysmartstudios.com (“Smart Studios”, “we”). They apply in addition to our Terms & Conditions and Privacy Policy. You accept them by ticking the box when you apply to sell.

2. Applying and approval

• You need a Smart Studios account and must give accurate business details, PAN, bank account and address proof. GSTIN is required if you are GST-registered.
• Every new store is reviewed by our team before buyers can see it. We may approve, reject (with a reason) or ask for more information.
• Your bank account is checked with your bank before any payout is sent to it. You can change it from your Vendor Dashboard; the check runs again.
• If you are not GST-registered, you may only sell to buyers within your own state (Notification 34/2023, CGST). Checkout blocks other orders.

3. Listings, prices and stock

• Each product must have a correct HSN code and GST rate. Prices you set are what buyers pay and include GST.
• Keep stock accurate. Each order reserves its units; buyers cannot order more than you have in stock.
• Descriptions and photos must be true to what you deliver. You can pause a product at any time.

4. How buyers pay

Smart Studios sets one of these payment options for your store when it is approved, and may change it with notice to you:

• Online to Smart Studios — the buyer pays us at checkout. We pay you after delivery, less commission (section 5).
• To you, on delivery — the buyer pays you when the order is handed over. You confirm the payment when you mark the order delivered. We collect nothing, and you owe us the commission on that sale.
• Buyer’s choice — the buyer picks one of the two at checkout.

5. Commission, GST and TCS

• We charge a commission on each delivered sale at the rate shown for your category when you applied and confirmed when your store is approved. Any change is notified to you before it applies.
• GST at 18% is charged on our commission.
• Where you are GST-registered and the buyer paid Smart Studios online, we collect TCS at 0.5% of the taxable value under section 52 of the CGST Act and report it in our returns.
• For an online sale, what we pay you is: sale amount − commission − GST on commission − TCS.
• For a sale paid to you on delivery, you owe us the commission plus GST on it. Your Vendor Dashboard shows what you owe; it must be paid when we ask for it.

6. Orders and delivery

• Accept or cancel new orders promptly. If you cancel, you must give the buyer a reason; any online payment is refunded to them in full.
• Move each order to Out for delivery when it leaves you. Consignments over ₹50,000 need an e-way bill, recorded before dispatch.
• Mark an order delivered only at handover, using the 4-digit delivery code the buyer gives you (or after the buyer confirms receipt themselves).
• The tax invoice for the goods is issued in your name as the supplier when the order is delivered.

7. Returns and refunds

• You decide whether a product can be returned and for how many days after delivery. Buyers can only request a return within that window.
• When you have the item back, accept the return (the buyer is refunded — online payments by us, pay-on-delivery orders by you) or decline it with a reason.
• Smart Studios may decide a disputed return and refund the buyer. If a sale is refunded after we have already paid you, that amount is owed back to us.

8. Payouts

• An online sale becomes payable once it is delivered, its return window has ended and no return is open.
• Payouts go to your verified bank account, by bank transfer, and the reference is shown in your Settlements tab.
• For ONDC sales (Pro plan), Jrurat buys the units from you: upload your GST invoice to Jrurat on the delivered order before it can be paid.

9. Suspension and ending

• We may pause your store, with a reason, for inaccurate listings, repeated cancellations or complaints, unpaid amounts owed, or a breach of these terms. Paused stores are hidden from buyers; open orders and settlements are completed as normal.
• You may stop selling at any time by pausing your products; orders already placed must still be fulfilled or cancelled with a refund.

10. Your data

Your bank account, PAN and address proof are stored encrypted or privately and are seen only by our onboarding and finance teams. Buyers see your business name, products and, while an order is open, your phone number. See our Privacy Policy.

11. Governing law

These terms are governed by the laws of India. Disputes are handled as set out in section 14 of our Terms & Conditions, with exclusive jurisdiction of the courts of Gautam Buddha Nagar (Greater Noida), Uttar Pradesh.
